Cooley LLP announced today that it represented DreamWorks Animation SKG, Inc. in the negotiations that culminated in its agreement to buy AwesomenessTV, a multi-channel YouTube subscription for teens.
DreamWorks Animation will pay $33 million upfront, and up to an additional $117 million, contingent on AwesomenessTV achieving specified earnings targets in 2014 and 2015.
The Cooley team representing DreamWorks included Los Angeles-based partners David Hernand, Chris Shoff and Jennifer Massey, and associates Nicole Miller, Az Virji and Philip Castro. Also involved from Cooley were partners Renee Deming, Francis Fryscak, Mark Windfeld-Hansen and Nancy Wojtas; special counsel Susan Lyon and Cydney Posner; and associates Laura McDaniels, John Paul Oleksiuk and Yueting Liang.
