Davis Polk is advising Comcast Corporation in connection with its $150 million acquisition of shares of the common stock of ARRIS Group, Inc. The issuance of shares to Comcast is conditioned on the closing of the ARRIS Group’s acquisition of the Motorola Home business from Motorola Mobility, a subsidiary of Google Inc., and other customary conditions. As a result of the transaction, Comcast and Google will each own approximately 7.85% of the outstanding ARRIS shares.

ARRIS is a global communications technology company specializing in the design, engineering and supply of technology supporting triple- and quad-play broadband services for residential and business customers around the world.
