Morgan Lewis announced today that a group of lawyers led by partners Ellen S. Bancroft and Bryan S. Gadol have joined the firm in its Business and Finance Practice, resident in the firm’s Irvine office. Their arrival extends the firm’s corporate capabilities to Orange County, and continues the firm’s growth there, following the arrivals of Collie James in 2012 and Robert Gooding and Scott Garner in 2011. Ms. Bancroft and Mr. Gadol most recently served as partners at another AmLaw 100 firm, with Ms. Bancroft leading that firm’s California Corporate Group. Joining them is of counsel Joo Ryung Kang, a seasoned corporate lawyer who has been practicing with Ms. Bancroft and Mr. Gadol for years.

“The addition of Ellen, Bryan and JR enables us to expand our nationally-recognized corporate capabilities to a region that has a substantial community of emerging and middle market companies and venture capital and private equity firms. Their abilities to help companies and investors of various sizes and in various industries with all aspects of their businesses-from venture and private equity financing to mergers and acquisitions to day-to-day operational and compliance issues-will prove to be invaluable for clients not only in Orange County, but across the firm,” said Firm Chair Francis M. Milone.

“This group is a natural fit for our practice,” noted Charles E. Engros, Leader of the firm’s Business and Finance Practice. “Their capabilities are in harmony with our well-established Emerging Business and Technology Practice in Northern California and also provide us with added depth in other areas.”

Ms. Bancroft represents public and private companies and investors in mergers and acquisitions and private financings, as well as issuers and underwriters in initial public offerings and registered follow-on and secondary public offerings. She has worked on more than 50 public and private acquisitions ranging from several million dollars to more than $1 billion, as well as on more than 35 registered public offerings raising in excess of $1 billion. She also maintains active securities regulatory and corporate governance practices, which include New York Stock Exchange and NASDAQ compliance, and corporate governance practices. Ms. Bancroft’s clients include privately held companies that are venture backed, as well as large, well-established public companies. She also serves as general counsel to many clients.

Mr. Gadol has extensive experience in mergers and acquisitions, private equity, joint ventures, securities offerings and venture capital transactions. He also provides general corporate and governance advice to emerging growth and middle market companies and investors operating or investing in a broad array of industries through all stages of the business and investment life cycle.

Ms. Kang’s practice includes corporate and securities law with an emphasis on public offerings, venture capital financing, and mergers and acquisitions. Ms. Kang also has significant expertise in the general representation of public companies.

“We have seen such great growth in Irvine in recent years, most recently with the expansion of our litigation capabilities with Collie, Bob and Scott,” mentioned Stephen R. Finn, Managing Partner of the Irvine office. “We’re thrilled to continue this momentum with this group of well-recognized and well-connected lawyers in the Orange County business community.”

They join a Business and Finance team that spans the United States, Europe, and Asia, with more than 300 transactional lawyers who focus on a wide variety of areas, including finance, bankruptcy and restructuring, mergers and acquisitions, private equity, and capital markets.
