Cooley LLP announced today that it is advising OPNET Technologies, Inc. in its pending acquisition by Riverbed Technology. Riverbed entered a definitive agreement to acquire OPNET for $43 per share in cash and stock, which represents an equity value of approximately $1 billion.
OPNET is the leading provider of solutions for application and network performance management. Riverbed is a network performance management company.
The cross-office Cooley team advising OPNET was led by Mergers & Acquisitions partner Jennifer Fonner DiNucci and included Brent Siler, partner in the Securities Regulation practice and associates Dan Espinoza, Christine Liu and Robin Bennett. Mike Tollini, associate in the Credit Finance practice led the financing aspect of the deal.
