Bruce McNamara has joined Haynes and Boone, LLP Silicon Valley as a partner in the firm’s Capital Markets and Securities Practice Group.

“Bruce’s in-depth knowledge of the corporate landscape in Silicon Valley will benefit the firm as we continue growth in California,” said Greg Samuel, co-chair of the firm’s Capital Markets and Securities Practice Group. “He brings with him a wealth of knowledge in cross-border transactions and public offerings, and his values are in sync with our firm’s culture. McNamara has served as a key advisor to numerous private and public companies and their boards of directors and board committees. He regularly represents public and private companies in mergers and acquisitions, capital raising, recapitalizations, venture financings, joint ventures and other strategic transactions as well as general corporate matters.

He has undertaken company-side and banker-side representations to complete numerous public and Rule 144A offerings involving companies in a wide variety of industries, including semiconductor, semiconductor equipment, software, biotechnology, communications, computer and Internet. McNamara has also counseled numerous companies and investment banks in connection with various equity offerings and convertible debt financings.

In addition, his extensive experience in advising public companies includes providing advice on best corporate governance practices and ’34 Act reporting and disclosure issues such as Forms 10-K, 10-Q and 8-K; Regulation FD; Regulation G; Section 16; as well as the myriad disclosure and compliance issues in corporate governance under Sarbanes-Oxley and Dodd-Frank.

McNamara has also served as an adjunct professor at Hastings School of Law at University of California, San Francisco, where he has taught courses entitled “Corporations Law” and “Mergers & Acquisitions: Law and Practice.”
