The Firm is representing Yahoo! Inc. (NASDAQ: YHOO) in connection with its announced acquisition of Tumblr for a total consideration of $1.1 billion. According to the purchase agreement, Tumblr will be independently operated as a separate business. The transaction is expected to close in the second half of the year and is subject to customary closing conditions.
